Terms of Service

1. About us

ClinicExec Ltd is a company registered in England and Wales. We provide a commercial intelligence platform for private Allied Health clinics, accessible at clinicexec.com and app.clinicexec.com.

In these Terms, "ClinicExec", "we", "us", and "our" refer to ClinicExec Ltd. "You" and "your" refer to the individual or organisation using our platform. "Service" refers to the ClinicExec platform, including the dashboard, weekly briefings, and any associated features.

2. Eligibility and accounts

• You must be at least 18 years old and have the authority to enter into a binding agreement on behalf of your clinic or organisation
• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorised access to your account
• One account per clinic is permitted under the standard subscription

3. Free trial and subscription

3.1 Free trial

New customers receive a 30-day free trial. No payment is required until day 31. You may cancel at any time during the trial period and will not be charged.

3.2 Subscription

After the trial period, your subscription will automatically commence at the rate agreed at sign-up. Subscriptions are billed monthly in advance. Payment is processed by Stripe. All prices are exclusive of VAT where applicable.

3.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months, except where required by law.

3.4 Price changes

We reserve the right to change our pricing. We will provide at least 30 days' notice of any price increase to active customers.

4. The Service

4.1 What we provide

• A weekly commercial health score based on your Cliniko and Xero data
• AI-generated weekly briefing emails delivered every Monday at 7am
• Three ranked actions each week based on score impact
• Access to the ClinicExec dashboard (app.clinicexec.com)
• Ask ClinicExec AI advisor (when available)

4.2 Service availability

We aim to maintain 99% uptime for the platform. Scheduled maintenance will be communicated in advance. We are not liable for service interruptions caused by third-party providers, including Cliniko and Xero API availability.

4.3 Changes to the Service

We may modify, update, or discontinue features of the Service with reasonable notice. Material changes that reduce functionality will be communicated at least 30 days in advance.

5. Your data and integrations

5.1 Data you provide

You retain ownership of all data you provide to ClinicExec, including data accessed via your Cliniko and Xero integrations. By using the Service, you grant us a limited licence to process this data solely to provide the Service.

5.2 Integration access

By connecting your Cliniko and Xero accounts, you authorise ClinicExec to access your data on a read-only basis. We will never write to, modify, or delete data in your connected accounts.

5.3 Data processing

We process your data in accordance with our Privacy Policy and, where applicable, our Data Processing Agreement. Your data is never used to train AI models. Aggregated and fully anonymised data may be used to calculate industry benchmarks.

6. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorised access to any part of the Service or its underlying systems
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Resell, sublicence, or distribute access to the Service to third parties
• Use the Service to generate content that is misleading, fraudulent, or harmful
• Interfere with or disrupt the integrity or performance of the Service

7. Intellectual property

The ClinicExec platform, including its software, design, algorithms, scoring methodology, and written content, is owned by ClinicExec Ltd and protected by applicable intellectual property laws.

The weekly briefings and reports generated for your clinic are provided for your internal business use only. You may not reproduce, distribute, or resell these materials without our written consent.

You retain all rights to your underlying clinic data.

8. Disclaimer of warranties

The Service is provided "as is" and "as available." We make no warranties, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of the Service or its outputs.

9. Limitation of liability

To the fullest extent permitted by law:

• ClinicExec's total liability to you shall not exceed the total fees paid by you in the 12 months preceding the claim
• We are not liable for any indirect, incidental, special, or consequential losses, including loss of profit, loss of data, or loss of business opportunity
• We are not liable for losses arising from your reliance on the Service's outputs as the sole basis for a business decision

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless ClinicExec Ltd, its directors, employees, and agents from any claims, losses, or expenses (including legal fees) arising from your use of the Service in violation of these Terms or applicable law.

11. Termination

We reserve the right to suspend or terminate your account immediately if:

• You breach these Terms in a material way
• You fail to pay applicable subscription fees
• We are required to do so by law

Upon termination, your access to the Service will cease. You may request an export of your data within 30 days of termination.

12. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal proceedings, we encourage you to contact us at hello@clinicexec.com to attempt to resolve any dispute informally.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before they take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before they take effect.
